Deal and project review
Assessment of proposed terms, obligations, dependencies, and potential exposure before the business commits.
Practice Area.
02 / 09
Assessment of the legal exposure in a deal, project, policy, or operating decision before the business commits to a course of action.
In practice
Not every risk should stop a deal. The useful question is whether the risk is understood, allocated where possible, and justified by the business objective.
Representative Work.
Assessment of proposed terms, obligations, dependencies, and potential exposure before the business commits.
Review of indemnity, insurance, warranty, limitation, termination, and other provisions that allocate risk between parties.
Review of internal policies and operating practices for legal gaps, unclear responsibilities, and recurring sources of exposure.
Clear explanation of available options so legal risk can be weighed against timing, cost, and the value of moving forward.
Working Method.
The review identifies what can happen, who bears the consequence, what can be changed, and what remains after negotiation. Advice is framed so the business can compare that exposure with cost, timing, and expected value.
A short conversation is usually enough to determine next steps.
